Derivative Work License Agreement

This derivative work license agreement is about how Users can use characters owned by Easy Onair Sdn Bhd (referred to as "the Company") to create their own derivative works, like fan art, music, or videos. By using the characters, you agree to the rules outlined here.

The agreement can change without notice, so it’s important to stay updated.

1. General

This agreement explains how Users can use the Company’s characters. It applies to anything Users create using the characters, and if additional license or approval is required, Users will have to get permission from the Company.

2. Key Term Definitions

  • Characters: The characters which the Company has an interest (i.e. works of art pictures created for embodying abstract ideas characterized by designation, voice, appearance, nature, or outlook on the world, in order to distinguish themselves).
  • User: Any entity, organization, or individual that uses the characters owned by the Company for creating derivative works.
  • Derivative Works: Any works created as a result of translations, musical arrangements, or deformation, adaptation, or animation, or other transmutation of any publishing works.
  • Alterations: Any works other than Derivative Works, produced by modification, separation, or alteration.
  • Derivative Creations: Includes and collectively means Derivative Works, Alterations, or any works based on other works.
  • IPRs: All copyrights, patents, petty patents, trademarks, design rights, and other intellectual property rights (including the right to acquire or to file an application for those rights).

3. Ownership of Work

The Company owns the characters, and they are protected under Copyright Act 1987 in Malaysia and other applicable laws and regulations. You agree that the Company has ownership of the characters, even if you modify them into any Derivative Creations.

4. Code of Conduct

Users are allowed by the Company to create and share Derivative Creations of the characters, but they must follow these rules:

  • Not to violate any IPRs or other rights and goodwill of third parties.
  • Not to impair the original name or reputation of the Characters.
  • Not to use Characters for unlawful or abusive expression, anti-social activities, or for certain creeds, religions, or political statements.
  • Not to mislead the public into believing these products are official for the Characters.
  • Any commercial use of the Characters will require prior approval of the Company.

Users are not allowed to conduct the following:

  • Violation or threatening act of the applicable laws, judgment, determination, or decree of courts of law.
  • Fraudulent or threatening behavior against the Company staff, users, or third parties.
  • Immoral or unlawful acts.
  • Impersonation of the Company or any other users or third parties.
  • Providing funds or benefits to unlawful groups.
  • Any other acts the Company deems inappropriate.

5. Ending the License

If the User breaks any of these rules, their right to use the characters will be taken away. The Company can stop the User’s use of the characters at any time, and they won’t be responsible for any losses Users might face as a result.

6. Changes to Characters or the Agreement

The Company can change the characters or this agreement whenever they want, without prior notice to the User. They can also stop offering the characters completely, and they won’t be responsible for any damages.

7. Responsibility

Users are responsible for their Derivative Creations. The Company isn’t liable for any problems that arise from the User’s use of the characters.

8. Sharing Your Work

If Users publish their Derivative Creation, the Company may use it for social media or promotional purposes. If they want to officially distribute or sell the work, they’ll discuss it with the User first.

9. Good Faith

Any issues not covered in this agreement will be resolved in good faith between the User and the Company.
